Welcome to VivaFusion! These Terms of Service ("Terms") govern your use of our website https://vivafusion.com.au and our services in SEO and web design. By accessing our site or using our services, you agree to comply with these Terms.

1. Services

VivaFusion offers customised SEO and web design solutions. The scope of work will be set out in project agreements, proposals, or service contracts.

2. Client Responsibilities

• Provide accurate information and materials required for SEO and design services.
• Acknowledge that SEO results depend on many factors outside our control (e.g., search engine algorithms).
• Approve project deliverables within agreed timeframes.
• Ensure supplied content complies with copyright and intellectual property laws.

3. Payments & Subscriptions

• Payments must be made according to agreed invoices or contracts.
• Late or missed payments may result in suspension of services.
• Fees are non-refundable except where otherwise agreed.

3.1 Subscription Billing

• Monthly subscription packages are billed in advance on a recurring monthly basis through PayPal.
• All advertised package prices include GST and are charged in Australian Dollars (AUD).
• Billing continues monthly until the subscription is cancelled in accordance with these Terms.
• VivaFusion does not store your PayPal or payment-card details. Payments are processed securely through PayPal.

3.2 Package Inclusions

• The services included in each package are as described on the Packages page at the time of subscription.
• Package inclusions may be updated from time to time. Existing subscribers will be notified of any material changes.

3.3 Cancellation

• You may cancel your subscription at any time by contacting VivaFusion or cancelling through your PayPal account.
• Cancellation takes effect at the end of the current paid billing period. No further charges will be applied after cancellation takes effect.
• Cancelling does not automatically entitle you to a refund for the current billing period. Services remain available until the end of the paid period.

3.4 Completed Work & Third-Party Costs

• Any work completed up to the point of cancellation remains chargeable and is non-refundable.
• Third-party costs (including but not limited to domain registration, hosting, Google Ads spend, and paid plugins) are not included in subscription fees unless expressly stated, and are payable separately by the client.
• Setup or onboarding costs, where applicable, are non-refundable once work has commenced.

3.5 Reasonable-Use Limits

• Each package includes a defined scope of work as described on the Packages page. Requests beyond the agreed scope may incur additional fees.
• VivaFusion reserves the right to review and discuss any requests that fall outside the reasonable scope of the subscribed package.

3.6 Customer Content Responsibilities

• You are responsible for providing accurate and timely content, access, and approvals required to deliver the services.
• You must ensure all content supplied to VivaFusion complies with applicable laws and does not infringe the rights of any third party.
• Delays in providing required content or approvals may affect service timelines.

3.7 Domain & Hosting Arrangements

• Where domain registration or website hosting is included in a package, VivaFusion will manage these services for the duration of the subscription.
• Upon cancellation, ownership of domain registrations can be transferred to the client, provided all outstanding fees are settled.
• Third-party hosting and domain providers remain subject to their own terms and conditions.

3.8 SEO Limitations

• Search engine rankings can fluctuate and cannot be guaranteed. SEO is a long-term strategy and results depend on many factors outside our control.
• We make no promise of achieving specific ranking positions, traffic levels, or conversion rates.
• We are not responsible for algorithm updates or penalties imposed by search engines.

3.9 Refunds

• Subscription fees are non-refundable except where required by law or where otherwise agreed in writing.
• If you believe you have been charged in error, please contact us promptly so we can review the matter.

4. Intellectual Property

• VivaFusion retains rights to all original designs, strategies, and content until full payment is received.
• After payment, ownership of final deliverables transfers to the client, excluding third-party tools, plugins, or licensed materials.

5. SEO Disclaimer

• Search engine rankings can fluctuate and cannot be guaranteed.

• We are not responsible for algorithm updates or penalties imposed by search engines.

6. Limitation of Liability

VivaFusion is not liable for:

• Business losses, lost profits, or damages due to search engine ranking changes.
• Interruptions caused by third-party services or hosting providers.
• Indirect or consequential damages from use of our services.

7. Termination

Services may be terminated by either party with written notice. Clients must pay all outstanding invoices before termination is finalised.

8. Changes to Terms

We may revise these Terms at any time. Updates will be published on this page with a revised "Effective Date."
